VIOLATIONS OF THE TERMS AND CONDITIONS

1. Governing Law, Venue, and Arbitration

These Terms, and any dispute arising out of or relating to the Site or these Terms, are governed by the laws of the State of Texas, Oklahoma and Arkansas without regard to its conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site — including its formation, breach, termination, or validity — will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, rather than in court, except that either party may bring an individual claim in small claims court.

YOU AND TACO BUENO EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person and may not otherwise preside over any form of a representative or class proceeding. If this class-action waiver is found unenforceable as to a particular claim or request for relief, that claim or request must be brought in court, and all other claims remain subject to arbitration.

For any dispute not subject to arbitration (or while an arbitrable dispute is pending), the state and federal courts located in Texas have exclusive jurisdiction and venue, and each party consents to personal jurisdiction there.

2. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TACO BUENO, ITS AFFILIATES, FRANCHISEES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, TACO BUENO’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE AMOUNT YOU PAID TO TACO BUENO, IF ANY, FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the exclusions and limitations in this section may not apply to you.

3. Privacy

Your use of the Site is also governed by the Taco Bueno Privacy Policy, available at tacobueno.com/privacy/ , which explains what personal information we collect, how we use and share it, and

the choices available to you, including any rights you may have under applicable state privacy laws. By using the Site, you acknowledge that you have reviewed the Privacy Policy.

4. Indemnification

You agree to defend, indemnify, and hold harmless Taco Bueno, its affiliates and franchisees, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of a third party.

5. Termination and Suspension of Access

Taco Bueno may suspend or terminate your access to all or part of the Site, without notice, for any reason, including if we believe you have violated these Terms or engaged in conduct that we determine, in our sole discretion, is harmful to Taco Bueno, other users, or third parties. Sections of these Terms that by their nature should survive termination (including trademark and copyright notices, disclaimers, limitation of liability, and indemnification) will survive.

Taco Bueno may revise these Terms at any time by posting an updated version on the Site. The “Last Updated” date below reflects the most recent revision. Changes are effective as soon as they are posted. Your continued use of the Site after a revised version is posted constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Site.

9. Menu, Nutrition, and Allergen Information

Menu items, ingredients, pricing, and availability shown on the Site may vary by location and are subject to change without notice. Nutrition and allergen information is provided as a general guide based on standard recipes and preparation methods; actual values may vary due to differences in suppliers, recipe substitutions, or how food is prepared at a particular restaurant. Because our kitchens handle wheat, eggs, milk, soy, tree nuts, and other allergens, we cannot guarantee that any item is free of a particular allergen or that cross-contact has not occurred. Guests with food allergies or special dietary needs should contact the specific restaurant location before ordering.

10. Online Ordering, Gift Cards, and Rewards Program

If the Site offers online or mobile ordering, use of that feature is also governed by our Online Ordering Terms, available at https://dashboard.thanx.com/terms/tacobueno, covering order accuracy, payment, cancellation, and pickup or delivery.

If you enroll in the Taco Bueno rewards or loyalty program, your participation is governed by the Rewards Program Terms, available at https://dashboard.thanx.com/privacy/tacobueno, including how points are earned, redeemed, and forfeited.

12. General Provisions

Entire Agreement. These Terms, together with any policies incorporated by reference, constitute the entire agreement between you and Taco Bueno regarding the Site and supersede any prior agreements on the subject.

Severability. If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver. Taco Bueno’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.

Assignment. You may not assign or transfer these Terms without Taco Bueno’s prior written consent. Taco Bueno may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Force Majeure. Taco Bueno is not liable for any failure or delay in performance resulting from causes beyond its reasonable control
